These Terms and Conditions (the "Agreement") govern the provision of accounting services ("Services") by Balance Your Beans Limited ("we," "us," or "our") to you, the customer ("Client," "you," or "your"). By engaging our services, you agree to be bound by the terms of this Agreement.

1. Services Provided
Balance Your Beans Limited offers a range of accounting and financial services, including bookkeeping, tax preparation, payroll, financial reporting, and other related services. The scope of the services to be provided will be outlined in your individual service agreement, which will govern the specific details of the engagement.

2. Contractual Period
Our standard contract duration is 12 months, unless otherwise agreed upon in writing. The contractual period begins from the date you sign the agreement or the date the service is initiated, whichever occurs first. The terms of this contract will govern the provision of services for the duration of the agreement.

3. Cancellation Policy
Clients may terminate the agreement with Balance Your Beans Limited by providing 90 days written notice. This notice must be sent in writing to [insert email address or physical address]. Please note that if you are in a contractual period (e.g., a 12-month term), early termination charges (ETFs) may apply. These charges will be calculated based on the remaining period of the contract and any outstanding obligations as outlined in your specific agreement.

Early Termination Fees (ETFs): If you cancel the contract before the end of the agreed term, we reserve the right to charge an early termination fee, which will be determined based on the amount of work already completed and the remaining contract value. The fee will be communicated to you upon receipt of your cancellation notice.

4. Invoices and Payment Terms
Invoices: All invoices issued by Balance Your Beans Limited are payable within 14 days of the issue date unless otherwise agreed in writing.
Late Payment: If an invoice is not paid within the 14-day period, a 5% interest charge will be applied per 30-day period of overdue payment. This interest will accrue from the 15th day following the invoice due date.
Please note that payments must be made in full, including any late fees, within a reasonable time to avoid further action.
5. Payment Prior to Submissions to HMRC or Companies House
Balance Your Beans Limited will not make any submissions to HMRC, Companies House, or any other regulatory bodies on your behalf until payment has been received in full for the services rendered. This includes, but is not limited to, tax filings, annual returns, and other official submissions. If payment is not received within the required time frame, any such submissions may be delayed.

6. Direct Debit Bounce Fees
If any direct debit payment is unsuccessful or "bounced," Balance Your Beans Limited reserves the right to charge a fee for the failed transaction. This fee will be at the company’s discretion and will be communicated to you prior to processing. Any bounced payments may result in the suspension of services until the outstanding amounts are settled.

7. Client Responsibilities
As a client, you agree to:
Provide accurate and complete information in a timely manner for the purposes of providing the agreed-upon services.
Respond promptly to requests for additional information, documentation, or clarification necessary for the performance of the services.
Ensure that all payments are made in accordance with the agreed terms.
Failure to meet these obligations may delay the provision of services and may result in additional charges for which you will be responsible.

8. Limitation of Liability
Balance Your Beans Limited will make reasonable efforts to provide accurate and reliable accounting services. However, we do not assume liability for any errors, omissions, or delays in the performance of our services, except where the error is caused by our negligence or intentional misconduct.
In no event will Balance Your Beans Limited be liable for indirect, incidental, or consequential damages, including but not limited to lost profits, business interruptions, or data loss.

9. Confidentiality
Balance Your Beans Limited agrees to maintain the confidentiality of your personal and business information, and will only disclose such information as necessary to perform the services, or where required by law.
We take appropriate measures to ensure that all data is handled securely and is not disclosed to unauthorized third parties.

10. Amendments
We reserve the right to amend or update these Terms and Conditions at any time. Any changes will be communicated to you in writing, and your continued use of our services after the changes will constitute your acceptance of the amended Terms and Conditions.

11. Dispute Resolution
In the event of a dispute arising out of or relating to this Agreement, we encourage an amicable resolution through discussion. If we are unable to resolve the matter directly, you agree to attempt mediation or arbitration before seeking legal recourse. Jurisdiction for any legal matters will be determined by the location of Balance Your Beans Limited’s primary place of business.

12. Force Majeure
Balance Your Beans Limited will not be held liable for any failure to perform its obligations under this Agreement if such failure is due to causes beyond our reasonable control, including but not limited to natural disasters, pandemics, strikes, or government regulations.

13. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of [Insert Jurisdiction], and any disputes will be subject to the exclusive jurisdiction of the courts in [Insert Jurisdiction].
